Our approach to reporting

This is Cazimir Mining Annual Integrated Report for 2019, which is our primary means of communicating with our stakeholders. It sets out the group’s strategy, governance, performance and prospects, in the context of our operations and the markets for our products, and recognizes the importance and concerns of our stakeholders. It is augmented by, and forms part of, a suite of reports that make up our Annual Reports for 2019. Through these reports we demonstrate the fundamental link between the risks and opportunities that could face the business in the short, medium and long term, and how our strategy has developed to ensure that Cazimir Mining creates and sustains value for all stakeholders.

Annual general meeting

Cazimir Mining will hold its Annual General Meeting of shareholders in Gonaives, (Haiti).

The Notice of Meeting will be posted to shareholders entitled to receive same on or about 31 March 2021. Copies of the notice of meeting complete with proxy form and voting instruction forms can be accessed from the company’s website.

Shareholders in the U.S will register who have dematerialized their shares in the company (other than those shareholders whose shareholding is recorded in their own names in the sub-register maintained by their CSDP).

Voting rights

The U.S Companies Act 71 of 2008 (as amended) provides that if voting is by a show of hands, any person present and entitled to exercise voting rights has one vote, irrespective of the number of voting rights that person would otherwise be entitled to. If voting is taken by way of poll, any shareholder who is present at the meeting, whether in person or by duly appointed proxy, shall have one vote for every share held. There are no limitations on the right of non-South African shareholders to hold or exercise voting rights attaching to any shares of the company.

CDI holders are not entitled to vote in person at meetings, but may vote by way of proxy. Options granted in terms of the share incentive scheme do not carry rights to vote.

Change of Details

Shareholders are reminded that the onus is on them to keep the company, through its nominated share registrars, apprised of any change in their postal address and personal particulars. Similarly, where shareholders received dividend payments electronically (EFT), they should ensure that the banking details which the share registrars and/or CSDPs have on file are correct
